Bylaws of the BOBbies Cycling Club

The name of this organization shall be the BOBbies Cycling Club (the BOBbies), headquartered in Orlando, Florida.   The mailing address shall be:

II.  Mission Statement

The mission statement of the BOBbies shall be to create a community of women cyclists helping each other to learn and improve cycling skills, as well as to promote safety, fitness and health through advocacy and education.

III. Membership and Leadership

Any woman at least 18 years of age who has interest in cycling is eligible to join the BOBbies and become a member.  A member in good standing is defined as a member who pays annual dues at a rate determined by the Board. The dues will not be prorated. Members shall receive full access to the club’s website, and may attend all membership meetings and other membership functions and may belong to committees of the club. Membership in the BOBbies shall not be denied to any person for reasons of race, creed, national origin, sexual orientation, physical ability or religion.

IV. Membership Year and Dues

The BOBbies membership year shall be the calendar year, February 1 through January 31 of the following year. The BOBbies dues shall be $25.00 per year, or as determined by the Board each year, payable annually to the BOBbies.

V. Board

A. The business of the BOBbies shall be governed by the Board as follows: 

• Officers defined as President, Vice President, Recording Secretary, and Treasurer.

• Committee Chairs defined as Safety Coordinator, Rides Coordinator, Communications Coordinator, Education Coordinator, Events Coordinator, Social Coordinator, and Sponsorship Coordinator.

B. The duties of the Board shall include the following:

1. President:  Develops agenda, sets location and time and presides over Membership and Board Meetings, appoints committees, acts as chairperson of board meetings.

2. Vice President: Shall preside in the absence of the President and assume the President’s office if the office is vacated. May head specific phases of the BOBbies activities.

3. Recording Secretary: Takes minutes of membership and Board meetings. Sends minutes of meetings to appropriate members.

4. Treasurer: Responsible for the BOBbies’ finances. Prepares and oversees the budget for the BOBbies. Collects dues. Prepares reports of receipts and expenditures and an annual statement. Communicates relevant information to the Board.

VI. Election of  Board

1. Election of the BOBbies’ board shall be held in December. Nominations shall be taken at the annual membership meeting in November. A list of candidates will be e-mailed to members, mailed to members, and/or posted on the BOBbies website prior to the election.

2. No person may take office as President unless she has been a BOBbies member in good standing, and has attended 75% of the Board meetings.

3. The standard election process for general elections of the board shall be held in December and conducted electronically or by mail. Only BOBbie members in good standing may participate in this standard election process for board members.

4. Newly elected officers shall assume their duties immediately after the election. The President shall only cast a vote in the event of a tie.

5. Upon knowledge of a vacancy, other than the office of President, that office shall be filled at a regular or special meeting by majority vote of the members in good standing (see section III) present until the standard election process can be followed. The elected person shall assume the position for the remainder of the existing term.

VII. Board Meetings

Board meetings will be held at the call of the President not less than six (6) times per year. Board meetings will also be held upon petition by at least three (3) members of the Board or upon petition by at least ten (10) BOBbies members.

1. For the purpose of conducting business, a quorum shall be a simple majority of the current board members.

2. It shall be the purpose of the board to implement policy of the BOBbies and to make recommendations to the membership about policy.

3. Club members may speak at a Board meeting during the ‘open floor’ section of the agenda.

4. Removal from office: For gross incompetence, misappropriation of the BOBbies funds, consistent failure to perform the duties of office, unlawful acts, or violation of the BOBbies policy pertinent to her position, a Board member may be removed by a two-thirds vote at a Board meeting following an announcement of such a vote in the Board minutes of the prior month.

5. Membership in the club may be revoked for cause by the Board by a two-thirds vote at a Board meeting. The member shall be notified of such a vote by mail at least three weeks prior to the meeting, and may attend and speak at the meeting.

VIII. Budget and Finance

1. The BOBbies fiscal year shall be from February 1 through January 31 of the following calendar year.

2. Club funds / cash shall be distributed only with the signature of Treasurer and President according to cash policies established by the Board. Expenditures greater that $500.00 must be approved by the Board.

3. The Treasurer will present a full statement of BOBbies accounts at a membership meeting within 60 days of the close of the fiscal year.

4. The Treasurer will present a statement of BOBbies accounts to the Board at least quarterly.

5. Current financial records will be available to any BOBbies member upon request.

IX. Standing Committees

The BOBbies shall have standing committees, as follows: Safety, Rides, Communications, Education, Events, Social and Sponsorship.

1. Safety Committee: shall disseminate safety information at all Bobbie events, rides, and on the website.  Safety information is to include but not limited to riding safety techniques, road rights and responsibilities, and legal resources.

2. Rides Committee: shall schedule, review and coordinate rides and submit them for posting on the BOBbies website.

3. Communications Committee: shall serve as a liaison between all committee chairs, the webmaster and the community to ensure rides, and other planned events are publicized.

4. Education Committee: duties shall be to instruct all new members in the rules of safe riding, and to cooperate with authorities and others in promotion of bicycle safety education in the community.

5. Events Committee: Shall be advised by the Events Coordinator, and its duties shall include to schedule, plan, publicize, and conduct special events and rides sponsored by the BOBbies.

6. Social Committee: shall coordinate social gatherings for the BOBbies members.

7. Sponsorship Committee: shall establish and maintain sponsorship programs to support the BOBbies including corporate funding, donations and discounts. 

X. Membership Meetings

1. Membership meetings will be held annually and at other times as called by the President.

2. Any issues that the Board determines requires a vote of the general membership shall be presented to the membership electronically.

3. Order of Business:

1. Welcome and introduction of new members and visitors

2. Approval of minutes of previous, regular, special, and/or Board meetings

3. Reports of officers and committees

4. Announcements of club rides, special meetings, programs, socials, etc.

5. Old/ unfinished business

6. New business

7. Open Floor

8. Adjournment

XI. Conduct of Meetings

To the extent not covered in these bylaws, membership and board meetings shall be conducted according to Robert’s Rules of Order Revised.

XII. Amendments

1. Amendments to these bylaws may be proposed electronically or in person at any membership meeting.

2. The proposed amendments shall be presented for discussion at the annual membership meeting.

3. All duly proposed amendments shall be submitted to a membership vote electronically, concurrently with the election of Board members.

4. Amendments shall be adopted if approved by at least two-thirds of the Board.
